Agreement and Release for Unsolicited Submission
This Agreement and Release (“Agreement”) is between BIOTRONIK SE & Co. KG, Woermannkehre 1, 12359 Berlin, Germany (“BIOTRONIK”) and the undersigned individual or entity (“Submitter”) regarding the Submitter’s unsolicited submission of ideas, information, data, concepts, proposals, inventions or other materials (“Submission”).
I confirm that I have read and understood this Agreement and that I am authorized to enter into it.
Representations
I represent and warrant that:
I have the full right and authority to make the Submission and to enter into this Agreement. The Submission is original to me and I own all rights in it, or I have obtained all necessary rights from third parties. The Submission does not infringe third‑party rights and does not contain confidential information or trade secrets of any third party. No rights in the Submission have been granted to others in conflict with this Agreement.
Nature of Submission / No Confidentiality
I acknowledge that BIOTRONIK has not requested the Submission and that I make it voluntarily. The Submission is made on a non‑confidential and non‑proprietary basis. No confidential, fiduciary or other special relationship is created by BIOTRONIK’s receipt, review or use of the Submission. BIOTRONIK has no obligation to keep the Submission confidential or to return it. BIOTRONIK may already be developing or may later receive similar or identical ideas; any similarity does not create any implication of copying or obligation towards me.
No Obligation to Use / No Compensation
BIOTRONIK has full discretion whether and how to review, evaluate or use the Submission and has no obligation to inform me of any decision or reasons. BIOTRONIK has no obligation to use or commercialize the Submission. BIOTRONIK has no obligation to pay me or otherwise compensate me for receiving, reviewing, evaluating or using the Submission. No compensation, royalty, finder’s fee, inventor’s remuneration or other payment shall be due unless agreed in a separate written agreement signed by both parties. I will not assert any claim for payment or reimbursement based on any legal theory in relation to the Submission, except as expressly provided in such a separate agreement, if any.
Release and Limitation to Patent Rights
Subject only to valid, in‑force claims of any patents (if any) owned by or licensed to me, I irrevocably release and forever discharge BIOTRONIK, its affiliates and their officers, directors, employees and agents from any and all claims, demands, causes of action, damages and liabilities of any kind, whether known or unknown, arising out of or relating to the Submission or to BIOTRONIK’s receipt, review, evaluation, use, non‑use, disclosure, development or commercialization of any product, service or technology that uses information from the Submission. Any claim I may have shall be based solely on such patent rights (if any). Nothing in this Agreement excludes mandatory liability that cannot be limited under applicable law.
Governing Law, Jurisdiction, Miscellaneous
This Agreement and any dispute arising out of or in connection with the Submission shall be governed by the laws of Germany, excluding its conflict‑of‑laws rules. To the extent legally permissible, the courts of Berlin, Germany, shall have exclusive jurisdiction; otherwise they shall have non‑exclusive jurisdiction. This Agreement constitutes the entire agreement regarding the Submission and supersedes all prior communications on this subject. Any modification must be in writing and signed by both parties. If any provision is invalid or unenforceable, the remaining provisions remain in full force and effect. BIOTRONIK may assign this Agreement to its affiliates or successors; I may not assign it without BIOTRONIK’s prior written consent.
